Design Submission Terms
The short version
If you submit a design to ZeroShot for community consideration, you are giving us a non-exclusive license to evaluate, display, and — if selected — sell it on a shirt. You keep ownership of your design. We are not required to select it, pay royalties for Drop 1 or Drop 2 selections, or credit you unless you asked for attribution when you submitted. Texas law governs. Full rules below.
1. Agreement
By submitting a design through zeroshotapparel.com ("the Site"), you agree to these Design Submission Terms ("Submission Terms"). If you do not agree, do not submit a design.
These Submission Terms are a binding agreement between you and ZeroShot Apparel Company, a Texas-based general partnership ("ZeroShot," "we," "us," "our"). They supplement our Terms of Service, which remain in effect. In any conflict between these Submission Terms and the Terms of Service on a matter related to design submissions, these Submission Terms control.
2. Design Submission and License
When you submit a design to ZeroShot ("your Design"), you grant ZeroShot a non-exclusive, perpetual, worldwide, royalty-free license to:
- reproduce, display, and distribute your Design for the purpose of community evaluation and voting on the Site;
- if your Design is selected for production: reproduce, distribute, publicly display, and sell your Design on apparel and related merchandise through the Site and any future ZeroShot sales channels.
You retain full ownership of your Design. The license above does not transfer copyright or any other ownership right to ZeroShot. You may continue to use and license your Design to others, subject to the conflict-of-interest provisions in Section 8.
This license is effective from the moment of submission and survives termination of your ZeroShot account. If ZeroShot does not select your Design within twelve (12) months of submission, ZeroShot will cease using your Design for any commercial purpose within sixty (60) days of a written request from you. Evaluation and archival copies made in the ordinary course of operating the submission program may be retained as described in our Privacy Policy.
Modifications. ZeroShot's right to crop, scale, or adjust placement is limited to technical adaptations required to print your Design on apparel. ZeroShot will not alter the core creative content of your Design in a manner that would constitute the creation of a derivative work under applicable copyright law without your written consent.
Successor use. If ZeroShot's business or material assets are transferred to a successor entity, the license granted in this Section continues in effect and is assignable to that successor solely for the purpose of continuing the ZeroShot design program. ZeroShot will notify affected designers by email within thirty (30) days of any such transfer.
3. Attribution
By default, ZeroShot is not required to attribute your Design to you when displaying it on the Site or printing it on merchandise. ZeroShot displays designer attribution only when you have opted in at the time of submission by checking the attribution box in the submission form.
If you opted in to attribution:
- ZeroShot will use the display name associated with your ZeroShot account.
- Attribution appears on the product page for the selected shirt, not on the garment itself.
- You may revoke attribution consent at any time by contacting us at support@zeroshotapparel.com. Revocation applies prospectively; ZeroShot will remove attribution from the product page within five (5) business days of a valid request. ZeroShot cannot modify printed merchandise already in customers' possession.
Late attribution requests. If you did not opt in to attribution at the time of submission and your design has not yet entered production, you may request attribution by contacting support@zeroshotapparel.com. ZeroShot will honor late attribution requests at its discretion; once a design has entered production, ZeroShot cannot guarantee that attribution can be applied.
Attribution scope. If you opted in to attribution, "attribution" means the display of your account display name on the relevant product page. Attribution does not extend to garments, hangtags, or packaging. For ZeroShot marketing materials, social media, or press content specifically featuring your design, ZeroShot will use your display name if you opted in.
4. Community Voting
Submitted designs may be placed in a community voting queue. Voting is governed by our Voting Terms, incorporated here by reference. To cast a vote, a voter must hold a registered ZeroShot account. Votes from unregistered visitors are not counted.
Votes inform ZeroShot's selection decisions but do not bind ZeroShot to produce any design. A design with more votes than another is not guaranteed to be selected; see Section 5.
5. Selection and Publication
ZeroShot exercises sole and final discretion over which submitted designs, if any, are selected for production. Factors we consider include but are not limited to: community vote count, consistency with ZeroShot's visual identity and brand values, print feasibility on the Bella+Canvas 3001 garment, intellectual property clearance, and commercial judgment.
Submission is not an offer of purchase. ZeroShot is not obligated to select any submitted design, including yours, regardless of vote count or any other factor.
If your Design is selected, ZeroShot will notify you via the email address on your ZeroShot account before the design goes live for sale. You will have seventy-two (72) hours to confirm or withdraw the design before ZeroShot proceeds to production. Failure to respond within that window will be treated as confirmation.
6. Compensation
For designs selected and sold during the ZeroShot Drop 1 and Drop 2 windows:
No monetary royalty. ZeroShot does not pay royalties or revenue share for submitted designs in the current drop structure. This may change in future drops; any change will apply only to designs submitted after the updated terms take effect and will be announced with at least fourteen (14) days' notice.
Community credit. Selected designers receive:
- A public acknowledgment on the relevant product page on the Site.
- One (1) complimentary copy of their selected shirt (standard production unit, shipped to the address on your ZeroShot account, no size or color guarantee beyond availability at time of production).
- Recognition in ZeroShot community communications at ZeroShot's discretion.
Community credit is the complete compensation for a selected submission under these terms. No additional consideration is implied or owed.
7. Your Representations and Warranties
By submitting a Design, you represent and warrant that:
1. You are the original author of the Design, or you hold all rights, consents, and permissions necessary to make the submission and grant the license in Section 2. 2. The Design does not infringe the copyright, trademark, trade dress, patent, trade secret, right of publicity, or any other intellectual property or proprietary right of any third party. 3. The Design does not contain material that is defamatory, obscene, fraudulent, or that violates any applicable law or regulation. 4. You have not submitted the Design in breach of any non-disclosure or exclusivity agreement with a third party. 5. You are eighteen (18) years of age or older. If you are younger than eighteen, a parent or legal guardian has reviewed and agreed to these Submission Terms on your behalf.
You agree to indemnify, defend, and hold harmless ZeroShot and its members, officers, agents, licensees, and successors from and against any claim, liability, loss, damage, or expense (including reasonable attorney fees) arising from any breach of the representations and warranties above.
8. Prohibited Submissions
The following submissions are prohibited and will be rejected without notice:
- Designs that infringe on any third party's intellectual property rights, including trademarked logos, copyrighted characters, brand identities, or celebrity likenesses.
- Designs that contain hate speech, slurs, or content targeting individuals or groups based on race, religion, gender, sexual orientation, disability, or national origin.
- Designs depicting or promoting violence, illegal activity, or sexual content involving minors.
- Designs that are deceptive, fraudulent, or misleading as to source, quality, or any material fact.
- Designs submitted by someone other than the original creator without the creator's explicit written permission.
- Designs that are substantially identical to another submission already in the ZeroShot queue.
ZeroShot reserves the right to reject any submission for any reason, and to remove a selected design from sale if a violation of this Section is discovered after selection.
9. ZeroShot's Rights
In addition to the license granted in Section 2, ZeroShot reserves the right to:
- Crop, scale, or adjust the placement of your Design to fit garment dimensions and printing constraints, without altering the core creative content;
- Remove a design from the voting queue or from sale at any time for any reason;
- Modify these Submission Terms at any time in accordance with Section 12.
ZeroShot does not claim ownership over your Design beyond the license expressly stated in Section 2.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZEROSHOT IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN THE DESIGN SUBMISSION PROGRAM, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR DAMAGE TO REPUTATION, EVEN IF ZEROSHOT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ZEROSHOT'S TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE SUBMISSION TERMS IS LIMITED TO THE FAIR MARKET VALUE OF ONE STANDARD-PRODUCTION SHIRT UNIT AT RETAIL PRICE.
Some jurisdictions do not allow certain liability limitations. If you are in such a jurisdiction, the limitations above apply to the fullest extent permitted by local law. These limitations do not limit ZeroShot's liability for gross negligence, intentional misconduct, or fraud.
11. Governing Law and Venue
These Submission Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. Any dispute arising under these terms shall be submitted exclusively to the state or federal courts located in Travis County, Texas. You consent to personal jurisdiction in those courts and waive any objection to venue.
12. Changes to These Terms
ZeroShot may update these Submission Terms at any time by posting a revised version on the Site with a new effective date. Continued participation in the submission program after the effective date of a revised version constitutes acceptance of the revised terms. If ZeroShot makes a material change to the license grant in Section 2, ZeroShot will notify active submitters by email at least fourteen (14) days before the change takes effect.
